For more information, refer to: http://www.siemens.com/industrialsecurity General Terms and Conditions for the Supply of Software for Automation & Drives (2011-08-01) 1. Supply of software for Licensees and the granting of rights to use the software 1.1 These General Terms and Conditions of License shall apply exclusively to the supply of software for Automation & Drives to the Licensee. The General Terms and Conditions of Business of the Licensee shall only apply if we have explicitly accepted these in writing. The scope of supply of the software shall be defined in the form of reciprocal written declarations from both parties. We shall grant the Licensee rights to use the software specified in the order confirmation or - if the Licensee does not receive order confirmation - in the Certificate of License, or in the software product sheet - if the Licensee receives a software product sheet specifying the software (hereinafter referred to as "SW"). The Certificate of License and the software product sheet are referred to collectively hereinafter as "CoL". The Licensee receives the CoL when the SW is supplied or in conjunction with the delivery note. The way in which the SW is supplied is also derived directly from the order confirmation or from the order number of the SW in conjunction with the associated order data of our catalog valid at the time the order is confirmed (hereinafter referred to as "Order Data") or from the CoL. If the Licensee does not receive a data carrier, he shall be authorized to copy the SW already available to him to the extent necessary for exercising the rights of use granted to him. This applies correspondingly if the SW is supplied in electronic form (downloading). If reference is made to the Order Data or CoL in the present General Terms and conditions, the reference to the CoL is of significance if the Licensee does not receive any order confirmation. At all events, the data contained in the Order Data is also contained in the CoL. 1.2 The documentation relating to the SW (hereinafter referred to as "Documentation") must be purchased separately, unless either the Order Data or the CoL state that it belongs to the scope of supply. If the Licensee is authorized in accordance with Section 1.1 to duplicate the software, this shall apply mutatis mutandis to the documentation, as far as included in the scope of delivery. 1.3 If the Licensee receives a License Key from us for the SW for unlocking the SW (hereinafter referred to as "License Key"), this key must also be installed. RF-DIAG Readme 10 Readme, 09/2012, A5E31408373A-01 License terms and open source software 3.1 This product contains open source software. 1.4 The rights granted to the Licensee with regard to the SW depend on the License Type (see Section 2) and the SW type (see Section 3). The License and Software Types are specified in the Order Data or the CoL. If the SW is supplied electronically, or if copying rights are granted for it, the rights and duties specified in the present General Terms and Conditions relate to legitimately generated copies. 1.5 If the Licensee is legitimately in possession of a previous version/release of the SW (hereinafter referred to as "Previous Version"), the Licensee shall be authorized to exercise the rights to use the SW granted to him either with respect to the SW or - if this intended from the technical point of view - to the Previous Version (downgrading). If the SW is an upgrade of the PowerPack as described in Section 4, Section 4 shall apply additionally. 1.6 Provided the Readme file of the SW is listed in the "Parallel usage" section, the Licensee is granted the right of using the SW license for one (1) instance of the previous versions listed. If the order data or CoL specifies the "Type of usage": "Installation" or "User", the Licensee is authorized to exercise the aforementioned rights in addition and simultaneously for one instance of the previous versions listed. "Instance" in the context of these General Terms and Conditions is an instance in a physical or virtual operating system environment. The transfer and portability of the rights of use of the previous versions is only permitted in combination with the rights of use of the SW in accordance with Section 5.3. 1.7 If the Order Data or the CoL are such that the Licensee obtains only the data carrier, but no license, the Licensee shall not be authorized to use the SW until he has purchased a license in accordance with Section 2. Until the license has been purchased the Licensee is also not authorized to pass the SW on to third parties. 1.8 Provided the SW contains open source software (hereinafter referred to as "OSS"), or similar third party SW, details thereof are to be found in the Readme_OSS file of the SW. The Licensee is authorized to use the OSS in accordance with the respective OSS license terms. These are contained on the data carrier that the Licensee has received with the software. The license terms to which the respective OSS is subject have priority over the present General Terms and Conditions. Insofar as the License terms for the OSS stipulate that the source code be issued, Siemens shall make this available on request against payment of compensation for costs incurred. 1.9 The SW may be or contain licensed software in addition to OSS, i.e. software we have not developed ourselves, but which we have obtained under license from third parties (hereinafter referred to as "Licensor"), for example Microsoft Licensing Inc.. In this case that the Licensee receives the Terms and Conditions of the Licensor concerned in the Readme_OSS file together with the SW, they shall apply with regard to the Licensor's liability vis-a-vis the Licensee. Our liability vis-a-vis the Licensee is always based on these General Terms and Conditions. 2. License type Depending on the License type, the Licensee shall be granted the following rights to the SW: 2.1 Single License (One Off License, Copy License) The term "One Off License" or "Copy License", which may be specified on the software product sheet corresponds to the Single License. The following regulation applies to all aspects of the One Off License/Copy License. The Licensee shall be granted the nonexclusive, unlimited and transferable right in accordance with Section 5.3 to install one (1) instance of the SW and to use it for validation purposes in the manner specified in the Order Data or CoL (see "Type of Use"). RF-DIAG Readme Readme, 09/2012, A5E31408373A-01 11 License terms and open source software 3.1 This product contains open source software. 2.2 Floating License The Licensee shall be granted the non-exclusive, time limited and transferable right in accordance with Section 5.3 to install the SW on any number of devices owned by the Licensee. The number of objects (e.g. users, or devices) permitted to use the SW at the same time is specified in the Order Data or CoL (see "Type of Use"). 2.3 Rental License The Licensee shall be granted a non-exclusive right with limited period in accordance with the Order Data or CoL (see "Type of Use") and transferable right in accordance with Section 5.3 to install and use one (1) instance of the SW. If the period of usage is specified in hours, the usage which is relevant for calculating the time limit begins when the SW is started up and ends when it is shut down. If the period of usage is specified in days, weeks or months, that period begins when the SW is initially started, irrespective of actual usage. If the period of usage is specified by date, the right of use ends at this date, irrespective of actual usage. 2.4 Rental Floating License The Licensee shall be granted the non-exclusive, time limited and transferable right in accordance with Section 5.3 to install the SW on any number of devices owned by the Licensee. The number of objects (e.g. users, or devices) permitted to use the SW at the same time is specified in the Order Data or CoL (see "Type of Use"). 2.5 Demo License The Licensee shall be granted a non-exclusive right with limited period in accordance with the Order Data or CoL (see "Type of Use") and transferable right in accordance with Section 5.3 to install and use one (1) instance of the SW for validation purposes. If the period of usage is specified in days, weeks or months, that period begins when the SW is initially started, irrespective of actual usage. If the period of usage is specified by date, the right of use ends at this date, irrespective of actual usage. 2.6 Demo Floating License The Licensee shall be granted the non-exclusive, time limited and transferable right in accordance with Section 5.3 to install the SW on any number of devices owned by the Licensee. The number of objects (e.g. users, or devices) permitted to use the SW at the same time for validation purposes is also specified in the Order Data or CoL (see "Type of Use"). If the period of usage is specified in days, weeks or months, that period begins when the SW is initially started, irrespective of actual usage. If the period of usage is specified by date, the right of use ends at this date, irrespective of actual usage. 2.7 Trial License The Licensee shall be granted the non-exclusive, non-transferable right to install the SW on one (1) device and to use it for validation purposes in the manner specified in the Order Data or the CoL (see Type of Use"). The period of usage is limited to 14 days, beginning with the first start up of the SW, unless the Order Data or the CoL specify a different period of usage. RF-DIAG Readme 12 Readme, 09/2012, A5E31408373A-01 License terms and open source software 3.1 This product contains open source software. 3. Software type If the software type is not specified in the Order Data or in the CoL, the software authorizations specified in Section 3.2 (Runtime Software) shall apply. 3.1 Engineering Software (hereinafter referred to as "E-SW") If the Licensee uses the E-SW to generate his own programs or data containing parts of the E-SW, the Licensee shall have the right to copy, use or supply these parts of the E-SW to third parties as an integral part of his own programs or data without having to pay a license fee. Third parties receiving the aforementioned parts of the E-SW must be committed in writing to the regulations specified in Section 5.1. and 5.2. 3.2 Runtime Software (hereinafter referred to as "E-SW") If the Licensee incorporates R-SW or parts thereof in his own programs or data, prior to installing or copying - depending on which occurs first - his own programs or data containing the R-SW or parts thereof, the Licensee must purchase a license for the R-SW conforming to the intended type of use and based on the valid Siemens catalog at that time. In the event that the Licensee supplies the aforementioned programs or data to third parties to use, the latter shall be bound in writing to adhere to stipulations corresponding to those in Section 5 regarding the parts of the R-SW contained therein. The aforesaid is without prejudice to the obligation of the Licensee to purchase a license for R.SW if the original R-SW is copied. If the R-SW contains parameter assignment/configuration tools and extended rights have been granted for these, this will be detailed in the Readme file of the R-SW. 4. Upgrade and PowerPack If it is apparent from the Order Data or CoL that the SW serves to upgrade another software (hereinafter referred to as "Source License"), e.g. by the addition of "PowerPack" or "Upgrade" in the product name of the SW, the rights of use of the source license granted to the Licensee shall end as soon as the Source License has been upgraded. The rights of use specified in Section 1.6 are not affected. However, the Licensee is always authorized to undo the upgrade as far as technically feasible (downgrade) and exercise his rights granted with the source license for using the SW in accordance with Section 1.5. 5. Further Rights and Duties of the Licensee 5.1 Insofar as the data carrier or the Readme file of the SW does not contain any stipulation to the contrary regarding a specific number of copies, the Licensee may make an appropriate number of copies of each item of SW for his own use in accordance with the present Terms and Conditions. The copies may be used exclusively for data backup purposes. For the rest, the Licensee may only copy the SW if and to the extent to which we have granted him copying rights in writing. 5.2 The Licensee is not authorized to modify, decompile or reverse engineer the software, nor may he extract any individual parts unless the provisions of copyright law specify mandatory permission. Furthermore, the Licensee is not permitted to remove alphanumerical identifiers, brand or copyright notes from the SW or data carrier and will duplicate these unchanged insofar as he is authorized to make copies of the SW. The above regulation shall apply mutatis mutandis to the documentation supplied in accordance with Section 1. RF-DIAG Readme Readme, 09/2012, A5E31408373A-01 13 License terms and open source software 3.1 This product contains open source software. 5.3 The Licensee is authorized to assign the right of use granted to him to a third party, provided he concludes a written agreement with the third party that conforms with all the stipulations of this Section 5 and he does not retain any copies of the SW. If the Licensee has received a License Key for the SW, he must pass it on to the third party together with the SW. In addition, the CoL must be handed over to the third party together with the present General Terms and Conditions. The Licensee shall present the CoL received for the SW to us at any time upon request. 5.4 If the SW is a PowerPack or an Upgrade, the Licensee shall keep the Certificate of License or the software product sheet of the source license and present it to us at any time together with the CoL of the SW, if we so request. If the Licensee transfers his rights of use on the PowerPack SW or upgrade SW in accordance with Section 5.3, the third party must also receive the CoL of the source license. 5.5 If the Licensee receives a data carrier containing, besides the SW, other software products which are released for use, he has a free right to use these released software products exclusively for validation purposes for a limited period of time. The time limit is 14 days, beginning when the respective software program is started up for the first time, unless a different period is specified e.g. in the Readme file of the relevant software product. The provisions of the present General Terms and Conditions shall apply mutatis mutandis to these software products supplied exclusively for validation purposes. The Licensee is not authorized to pass on these software products separately, i.e. without the SW, to a third party. The Terms and Conditions of Sale shall apply mutatis mutandis for the open source software, unless explicitly specified otherwise.
